2. Our Services

Estopia Engineering provides professional technology services, including but not limited to:

• Web Development — Design, development, and deployment of websites and web applications.
• Mobile App Development — Native and cross-platform mobile application design and development.
• Managed Hosting & Maintenance — Ongoing hosting, monitoring, updates, and technical maintenance for digital products.

The specific scope of work for any engagement is defined in individual project agreements between Estopia Engineering and the client.

3. Client Engagements

Individual projects and client engagements are governed by separate written agreements (such as statements of work, proposals, or contracts) entered into between Estopia Engineering and the client.

These Terms serve as the baseline terms applicable to all interactions with our website and services. Where a separate project agreement conflicts with these Terms, the project agreement shall take precedence with respect to that engagement.

4. Intellectual Property

All intellectual property rights in work produced by Estopia Engineering — including but not limited to source code, designs, documentation, and creative assets — remain the property of Estopia Engineering until full payment has been received for the relevant project.

Upon receipt of full payment, intellectual property rights are transferred to the client as specified in the applicable project agreement. Any pre-existing intellectual property, frameworks, or tools owned by Estopia Engineering prior to the engagement remain our property unless expressly agreed otherwise in writing.

All content on the estopia.net website, including text, graphics, logos, and images, is the property of Estopia Engineering and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works from this content without our prior written consent.

5. Payment Terms

All services provided by Estopia Engineering are billed on a monthly recurring subscription basis. The following terms apply unless otherwise specified in a project agreement:

• Subscriptions auto-renew each month unless cancelled with at least 30 days' written notice before the next billing date.
• The first monthly payment is billed upon project kickoff.
• All prices are quoted in British Pounds (GBP) and are exclusive of VAT where applicable.
• Payments that remain outstanding for more than 7 days past the due date may result in suspension of services until the account is brought up to date.
• Partial-month refunds are not provided. If you cancel your subscription, service continues until the end of the current billing period.

6. Subscription & Recurring Billing

Available subscription plans and their features are described on our service pages. The following additional terms apply to all subscription services:

• We reserve the right to adjust subscription pricing with a minimum of 60 days' advance written notice.
• Plan changes — including upgrades and downgrades — take effect at the start of the next billing cycle.
• Any usage-based components of a subscription (if applicable) are billed in arrears at the end of the billing period.

7. Partner Rewards Programme

We may offer a Partner Rewards or referral programme that lets approved partners share referral links or referral codes and receive partner rewards for qualifying referred clients, including one-off website builds and monthly subscriptions. Programme details published on our partner pages or shared directly with partners form part of these Terms.

• Participation is subject to our approval and may be restricted, suspended, or withdrawn at our discretion.
• A qualifying referral must generally be a new client on a qualifying paid service, including monthly subscriptions from £20 per month or website builds from £100 one-off unless we agree otherwise in writing. Existing clients, active sales opportunities, duplicate claims, self-referrals, and referrals from businesses under common ownership or control with the referrer do not qualify unless we approve them in writing.
• You must not use unlawful, deceptive, misleading, abusive, or unsolicited promotional methods, impersonate Estopia Engineering, or present yourself as our employee, agent, or authorised representative.
• We may use referral links, referral codes, contact records, and other reasonable attribution methods to determine whether a referral qualifies. Where there is a reasonable dispute, our attribution records will control.
• Rewards accrue only once the referred client enters a qualifying paid engagement and remains in good standing for any applicable subscription or delivery milestones. Refunds, credits, chargebacks, cancellations, non-payment, fraud, or breach of these Terms may reduce, reverse, or eliminate rewards that would otherwise have been due.
• Rewards are issued on the schedule and in the format described in our programme materials or partner communications. Qualification and reward handling may differ between one-off website builds and monthly subscriptions. We may require accurate payment, identity, or tax information before issuing rewards.

We may amend, pause, or end the Partner Rewards programme, including reward rates, qualification criteria, and available benefits, on a prospective basis. Issuing a referral link does not create employment, agency, partnership, exclusivity, or any authority for you to bind Estopia Engineering.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Estopia Engineering shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or in connection with your use of our website or services.

Our total aggregate liability for any claims arising under or in connection with these Terms or any project agreement shall not exceed the total fees paid by the client to Estopia Engineering for the specific project giving rise to the claim during the twelve (12) months preceding the event.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by law.

9. Warranties

The estopia.net website and its content are provided on an “as is” and “as available” basis for general informational purposes. We make no representations or warranties of any kind, express or implied, regarding the accuracy, completeness, or reliability of any content on the website.

For client project work, warranties and service guarantees are governed by the terms of the applicable project agreement. We are committed to delivering high-quality work and will address any defects or issues as outlined in the relevant agreement.

10. Termination

Either party may cancel subscription services by providing 30 days' written notice to the other party.

Upon cancellation, service continues until the end of the current billing period. The client retains access to all deliverables for which payment has been made, in accordance with the intellectual property provisions above.

We reserve the right to terminate services immediately in the event of non-payment or a material breach of these Terms by the client. We may also suspend or terminate access to our website at any time if we reasonably believe you are in breach of these Terms.

11. Data Protection

We take the protection of your personal data seriously. Our collection, use, and processing of personal data is governed by our Privacy Policy, which forms part of these Terms.

We comply with applicable data protection legislation, including the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018. For client engagements involving the processing of personal data, we will enter into appropriate data processing agreements as required.

Our website uses Osano Cookie Consent as our consent banner to handle cookie preferences and consent in accordance with applicable regulations. 12. Governing Law

These Terms and any disputes arising out of or in connection with them shall be governed by and construed in accordance with the laws of Scotland.

The parties agree to submit to the exclusive jurisdiction of the Scottish courts for the resolution of any disputes arising under or in connection with these Terms.

13. Changes to Terms

We reserve the right to update or modify these Terms at any time. Changes will be effective immediately upon posting the revised Terms on this page. The “Last updated” date at the top of this page will be revised accordingly.

Your continued use of the website after any changes to these Terms constitutes your acceptance of the revised Terms. We encourage you to review this page periodically to stay informed of any updates.
